These Terms of Service ("Terms") govern your use of the DeployProof service ("Service", "DeployProof"), operated by CodePixelfy LLC ("Company", "we", "us", "our").

By using DeployProof, you agree to these Terms. If you disagree, please do not use our service.

1. Service Description

DeployProof is a proof-of-delivery and client approval platform that:

  • Stores deliverables uploaded by you (screenshots, PDFs, video links, etc.) for client review
  • Facilitates client approval workflows with electronic signatures
  • Records client responses alongside timestamps, IP addresses, and cryptographic hashes as a documented audit trail
  • Generates tamper-evident evidence reports with cryptographic verification
  • Creates PDF documentation for project records and dispute resolution

2. Account Registration

  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account
  • You must be at least 16 years old to use this service
  • One person or legal entity per account

3. Business and Consumer Users

For purposes of these Terms:

  • A "Business User" is any user who subscribes to DeployProof for purposes relating to their trade, business, craft, or profession.
  • A "Consumer User" is any individual who subscribes to DeployProof for purposes outside their trade, business, craft, or profession.

If you are a Consumer User located in the European Union, United Kingdom, or European Economic Area, additional consumer protection rights apply to you as described in Section 8 below.

4. Acceptable Use

You agree NOT to:

  • Use the service for illegal purposes
  • Capture screenshots of websites you don't own or have permission to capture
  • Send approval requests to people who haven't agreed to receive them
  • Attempt to bypass usage limits or security measures
  • Resell or redistribute the service without permission
  • Use the service to harass, abuse, or harm others

5. Your Content

  • You retain ownership of your content (uploaded files, project data)
  • You grant us a license to store and process your content to provide the service
  • You are responsible for the content you upload and the clients you contact
  • We may delete content that violates these terms

6. Client Approvals and Electronic Signatures

6.1 Approval Process

When using the approval feature:

  • You send approval requests containing your uploaded deliverables to your clients
  • Clients review the deliverables and submit a response (approve, reject, or request changes)
  • All responses require explicit consent to data collection
  • Approved responses require an electronic signature (drawn or typed)

6.2 Electronic Signature Mechanism

When a client approves, DeployProof captures their typed or drawn signature alongside:

  • Signature (drawn or typed)
  • Timestamp (UTC)
  • IP address
  • Cryptographic evidence hash (SHA-256)
  • Consent confirmation

These records are intended to provide a documented audit trail of who approved what, when, and from where, suitable for commercial project approvals and general business use.

Note:DeployProof does not provide notarized signatures, qualified-trust-service signatures, or any other certified signature product. For transactions that require notarization, government filings, or any specific certified signature standard, additional services may be required. Users are responsible for determining whether DeployProof's signature mechanism meets the requirements of their specific use case.

DeployProof provides signature collection and evidence preservation "as-is" and does not make any representation about how courts, tribunals, or counterparties in any jurisdiction will treat the resulting records. For specific legal advice, consult a qualified attorney.

6.3 Evidence Collection

  • Each approval response generates a cryptographic hash (SHA-256)
  • This hash makes any modification of the recorded evidence self-evident
  • Evidence includes: signature, timestamps, IP address, browser info, and the manifest of deliverables reviewed
  • Evidence reports can be exported as PDF for project records

6.4 Your Responsibilities

  • You are responsible for having appropriate business relationships with your clients
  • You must inform clients that their response constitutes an approval
  • You agree to use approval evidence fairly and not misrepresent client responses
  • You are responsible for determining whether DeployProof's signature mechanism meets the requirements for your specific use case
  • We are not responsible for disputes between you and your clients

6.5 Limitations

  • DeployProof provides tools for collecting evidence, not legal advice
  • The enforceability of electronic signatures may vary by jurisdiction
  • We recommend consulting legal counsel for high-stakes agreements
  • We do not guarantee the outcome of any legal disputes

7. Subscription and Payment

7.1 Free Plan

  • Limited features as described on our pricing page
  • May be modified or discontinued with notice

7.2 Paid Plans

  • Billed monthly via Stripe
  • Prices are in USD and exclude applicable taxes
  • You can cancel anytime; access continues until the end of the billing period

7.3 Refunds

  • Business Users: Subscription fees are non-refundable except as required by law. No refunds will be provided for partial months of service.
  • Consumer Users (EU/EEA/UK): You may exercise your 14-day right of withdrawal as described in the EU Consumer Rights section (Section 8) below.
  • All Users: If we terminate your account due to our breach or discontinuation of the Service, you will receive a pro-rata refund for any prepaid fees.

7.4 Plan Changes

  • Upgrades take effect immediately
  • Downgrades take effect at the next billing cycle
  • We reserve the right to change pricing with 30 days notice

7.5 Usage Limits

  • Each plan has limits on projects, pages, and monthly snapshots
  • Exceeding limits may restrict functionality until the next billing cycle
  • Abuse of limits may result in account suspension
  • Limits are displayed in your dashboard and enforced automatically

8. EU Consumer Rights

If you are a Consumer User in the EU, EEA, or UK, the following rights apply to you:

8.1 Right of Withdrawal

You have the right to withdraw from your subscription within 14 days of purchase without giving any reason. To exercise your right of withdrawal, you must inform us by a clear statement sent to office@codepixelfy.com.

If you request to begin using the Service immediately during the withdrawal period, you acknowledge that:

  • You will lose your right of withdrawal once the Service has been fully performed
  • If you withdraw before the Service is fully performed, you will pay an amount proportional to what has been provided

8.2 Refunds

Refunds for EU consumers exercising their withdrawal right will be processed within 14 days using the same payment method as the original transaction.

8.3 Consumer Guarantees

Nothing in these Terms affects your statutory rights as a consumer under applicable EU, EEA, or UK consumer protection laws.

9. API Terms of Use

The following terms apply to the use of the DeployProof API, including the webhook auto-capture endpoint.

9.1 Access and Authentication

  • API access is available to users on Pro and Agency plans
  • Authentication requires an API key passed via the X-API-Key header
  • Each account may have one active API key at a time
  • API keys use the dp_ prefix format and are hashed upon storage — they cannot be retrieved after initial generation
  • You may generate, regenerate, or delete your API key from your account settings

9.2 API Key Security

  • You are responsible for maintaining the confidentiality of your API key
  • Do not embed your API key in public repositories, client-side code, or unsecured locations
  • If you believe your key has been compromised, regenerate it immediately from your dashboard
  • We are not responsible for unauthorized access resulting from your failure to secure your API key

9.3 Rate Limits

  • API requests are subject to rate limiting to ensure fair usage and service stability
  • Webhook captures are limited to one capture per project every 5 minutes
  • Exceeding rate limits will result in HTTP 429 responses with a Retry-After header
  • Automated retry logic should respect the Retry-After value provided in rate limit responses
  • Rate limits may be adjusted; significant changes will be communicated in advance

9.4 Acceptable API Use

  • The API may only be used for its intended purpose: triggering automated screenshot captures from deployment pipelines
  • You must not use the API to circumvent plan limits or automate actions beyond its intended scope
  • You must not use the API to build a competing service or resell API access without written authorization
  • Abusive usage — including deliberate rate limit evasion or excessive error-generating requests — may result in API key revocation or account suspension

9.5 API Changes

  • We may modify, deprecate, or discontinue API endpoints with reasonable notice
  • We will endeavor to provide at least 30 days notice for breaking changes, except in cases of security vulnerabilities or legal requirements
  • Breaking changes will be communicated via email to users with active API keys

9.6 Service Level

  • API availability is subject to the same terms as the main platform (see Section 10)
  • We do not guarantee specific API response times or uptime percentages
  • The API is provided "as is" without warranty
  • For SLA commitments, contact us about Enterprise plans

9.7 Downgrade and Termination

  • If you downgrade to a plan without API access, your API key will stop functioning
  • API keys may be revoked if your subscription lapses or your account is terminated
  • Upon account deletion, API keys are permanently destroyed along with all other account data

10. Service Availability

  • We aim for high availability but don't guarantee 100% uptime
  • We may perform maintenance with reasonable notice when possible
  • We are not liable for downtime or data loss

11. Confidential Mode

DeployProof provides a Confidential Mode feature that restricts internal staff visibility of project details. This feature is provided "as is" as a privacy convenience. DeployProof retains the right to access any data stored on its systems when required by law, including in response to subpoenas, court orders, or other valid legal processes. Confidential Mode does not constitute a contractual guarantee of data isolation or regulatory compliance.

12. Intellectual Property

  • DeployProof, its logo, and branding are owned by CodePixelfy LLC
  • You may not copy, modify, or reverse engineer our service
  • Feedback you provide may be used to improve the service

12.1 DMCA Agent

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We provide the service "as is" without warranties
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the last 12 months
  • We are not responsible for the outcome of disputes with your clients
  • We do not guarantee the legal enforceability of electronic signatures in any jurisdiction
  • Evidence reports are provided "as is" for documentation purposes
  • We are not liable if approval evidence is not accepted in legal proceedings
  • Cryptographic hashes verify data integrity but do not constitute legal certification

Nothing in these Terms shall limit or exclude our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Any other liability that cannot be limited or excluded by applicable law

14. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any third-party rights

15. Termination

  • You may close your account at any time
  • We may suspend or terminate accounts that violate these terms
  • Upon termination, your data will be deleted within 30 days

16. Changes to Terms

  • We may update these terms periodically
  • Continued use after changes constitutes acceptance
  • Significant changes will be communicated via email

17. Dispute Resolution

17.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at office@codepixelfy.com. We will attempt to resolve the dispute within 30 days. If we cannot resolve the dispute informally, either party may proceed as outlined below.

17.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware, USA.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to award any relief that would be available in a court of law.

17.3 Class Action Waiver

YOU AND CODEPIXELFY LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both you and CodePixelfy LLC agree otherwise, the arbitrator may not consolidate more than one person's claims.

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Additionally, claims of less than $10,000 may be brought in small claims court.

17.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to office@codepixelfy.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

17.6 Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Nothing in this clause shall deprive Consumer Users in the EU, EEA, or UK of the protection afforded by mandatory provisions of consumer protection law in their country of residence.

19. Account Deletion and Data Removal

19.1 Your Right to Delete

  • You may delete your account at any time from Settings
  • Account deletion requires typing "DELETE" to confirm
  • Deletion is permanent and cannot be undone

19.2 What Gets Deleted

Upon account deletion, we permanently remove:

  • Your profile and account information
  • All projects and their screenshots
  • All approval records and signatures
  • All change orders
  • All stored files (logos, images)
  • Your Stripe subscription (cancelled)

19.3 Timing

  • Account deletion begins immediately upon confirmation
  • All data is permanently removed within 30 days
  • Some anonymized analytics data may be retained

19.4 Before Deleting

  • Export any evidence reports you need to keep
  • Download any screenshots or approval records for your records
  • We cannot recover deleted data

20. Support Services

DeployProof provides support services to help you use the platform effectively. Support availability and response times vary by subscription plan.

20.3 Issue Severity Definitions

  • Critical: The service is completely unavailable or a core feature (screenshot capture, client approvals, evidence generation) is non-functional, affecting your ability to use DeployProof for its intended purpose.
  • Standard: All other issues, including questions about features, minor bugs, configuration help, and general inquiries.

20.4 Support Scope

Our support team can assist with:

  • Account and billing questions
  • Platform functionality and feature usage
  • Bug reports and troubleshooting
  • Integration and webhook configuration

Support does not cover:

  • Custom development or code review
  • Third-party website or hosting issues
  • Legal advice regarding electronic signatures or evidence
  • Training beyond standard documentation

20.5 Enterprise Support

Organizations requiring enhanced support SLAs, dedicated account management, or custom service-level agreements may contact us at office@codepixelfy.com to discuss Enterprise support options.

20.6 Disclaimer

The response times listed above are targets, not contractual guarantees. Actual response times may vary based on issue complexity, support volume, and other factors. DeployProof reserves the right to modify support offerings and response time targets at any time with reasonable notice.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CodePixelfy LLC regarding your use of the Service. These Terms supersede any prior agreements or communications.

23. Force Majeure

CodePixelfy LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

24. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. CodePixelfy LLC may assign these Terms at any time without notice or consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

25. Survival

The following sections shall survive termination or expiration of these Terms: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive.

26. Notices

We may provide notices to you via email to the address associated with your account, through the Service interface, or by posting on our website. You may provide notices to us by email at office@codepixelfy.com. Notices are deemed received when sent via email (if no bounce-back) or when posted on the website.

27. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CodePixelfy LLC.

The section headings in these Terms are for convenience only and have no legal or contractual effect.
